从封测到全产业链，华天科技收购华羿微电

9 月 24 日，华天科技发布公告称，正在筹划发行股份及支付现金购买资产并募集配套资金暨关联交易事项，标的公司为华羿微电子股份有限公司。华天科技主营集成电路封测，处于半导体中游，而华羿微电聚焦半导体功率器件的研发、生产，属于上游设计+制造环节。

华羿微电是国内知名的以高性能功率器件研发、设计、封装测试、销售为主的半导体企业，采用 “设计+封测” 双轮驱动的业务发展策略。自研产品以20V—150V的中低压MOSFET为主，分为抗冲击能力突出的Trench（沟槽型）MOSFET和具备高频、高动态特性的SGT MOSFET（低屏蔽栅沟槽型）两大系列，已量产的产品达到400余种。封测产品主要有TO-247、TO-264、IPM等11大系列，共计约60余种封装外形，产品覆盖各功率段的二极管、三极管、MOSFET、超结MOSFET、IGBT等分立器件和模块。

收购后，华天科技和华羿微电将提升双方在技术研发和产品创新方面的能力，实现双方客户资源的共享和互补。华天科技将从 “单一封测代工厂”向 “功率器件IDM（整合设备制造商）”模式延伸，能够更全面地覆盖半导体产业链，切入新能源汽车、光伏等高增长赛道，更精准地把握功率半导体的市场机遇。

On September 24, Huatian Technology announced that it is planning to issue shares and pay cash to acquire assets and raise supporting funds, as well as related-party transactions. The target company is Huayi Microelectronics. Huatian Technology specializes in integrated circuit packaging and testing, operating in the midstream semiconductor industry, while Huayi Microelectronics focuses on the R&D and production of semiconductor power devices, falling within the upstream design and manufacturing segment.

Huayi Microelectronics is a well-known domestic semiconductor company focused on the R&D, design, packaging, testing, and sales of high-performance power devices. It adopts a dual-engine business development strategy of "design + packaging and testing." Its proprietary products primarily focus on low- and medium-voltage MOSFETs ranging from 20V to 150V, divided into two series: trench MOSFETs with outstanding surge resistance and SGT MOSFETs (shielded gate trench MOSFETs) with high-frequency and high-dynamic characteristics. Over 400 products are in mass production. The packaging and testing products mainly include 11 major series such as TO-247, TO-264, IPM, etc., with a total of more than 60 packaging shapes. The products cover discrete devices and modules such as diodes, transistors, MOSFETs, super junction MOSFETs, IGBTs, etc. in various power segments.

Comment

Following the acquisition, Huatian Technology and Huayi Microelectronics will enhance their capabilities in technology R&D and product innovation, enabling them to share and complement their customer resources. Huatian Technology will expand from a "single-unit packaging and testing foundry" to a "power device IDM (Integrated Device Manufacturer)" model, enabling more comprehensive coverage of the semiconductor supply chain, entry into high-growth sectors such as new energy vehicles and photovoltaics, and more accurately capturing market opportunities in power semiconductors.
