芯原股份并购芯来科技，RISC-V 布局再提速，AI ASIC 竞争力全面升级

9 月 11 日，芯原股份公告称，公司拟通过发行股份及支付现金方式向31 名交易对方购买其合计持有的芯来科技 97.0070% 股权，并募集配套资金。交易完成后，芯来科技将成为上市公司的全资子公司。

芯原股份作为中国半导体 IP 领域的领军企业，于 2020 年成功上市。公司拥有用于各类异构计算的六大类关键处理器 IP，包括图形处理器 IP（GPU IP）、神经网络处理器 IP（NPU IP）、视频处理器 IP（VPUIP）、数字信号处理器 IP（DSP IP）、图像信号处理器 IP（ISP IP）和显示处理器 IP（Display Processing IP），以及 1600 多个数模混合 IP 和射频 IP。

此次并购标的芯来科技成立于2018年，一直专注于RISC-V CPU IP及相应平台方案的研发，是本土RISC-V领域的代表性企业。芯来科技从零开始，坚持自研，打造了 N/U、NX/UX 四大通用 CPU IP 产品线和NS、NA、NI三个专用CPU IP产品线。目前已有超过300家国内外正式授权客户使用了芯来科技的RISC-V CPU IP，遍及AI、汽车电子、5G通信、网络安全、存储、工业控制、MCU、IoT等多个领域。

Summary:

On September 11, VeriSilicon announced that it plans to purchase a combined 97.0070% stake in Nuclei Technology from 31 counterparties through a combination of share issuance and cash payments, and to raise matching funds. Upon completion of the transaction, Nuclei Technology will become a wholly-owned subsidiary of the listed company.

VeriSilicon, a leading Chinese semiconductor IP company, successfully went public in 2020. The company boasts six key processor IP categories for various heterogeneous computing applications, including graphics processing unit (GPU), neural network processing unit (NPU), video processing unit (VPU), digital signal processing unit (DSP), image signal processing unit (ISP), and display processing unit (DP), as well as over 1,600 mixed-analog and digital-radio IPs and RF IPs.

Nuclei Technology, the target of this acquisition, was founded in 2018 and has been focused on the research and development of RISC-V CPU IP and corresponding platform solutions, making it a leading company in the local RISC-V field. Starting from scratch, Nuclei Technology insisted on independent research and development, and created four general-purpose CPU IP product lines: N/U, NX/UX, and three dedicated CPU IP product lines: NS, NA, and NI. Currently, over 300 officially licensed customers worldwide are using Nuclei Technology's RISC-V CPU IP, spanning a wide range of sectors, including AI, automotive electronics, 5G communications, network security, storage, industrial control, MCUs, and IoT.

This transaction will enhance VeriSilicon's full-stack heterogeneous computing offering, encompassing core processor IP and CPU IP. By leveraging Nuclei Technology's RISC-V technical resources, it will accelerate the large-scale implementation of RISC-V.
